How do proxies work?
Add a proxy holder against a member — in your CSV, one at a time from the board, or pasted in bulk as a list of member/holder pairs. If the holder is on the call, that member counts toward quorum even though they aren't. If the holder leaves, the proxy stops counting immediately and you see the figure drop. A member who turns up in person counts as present and their proxy stops counting, so nobody is ever counted twice. Proxy chains aren't followed, since most declarations prohibit them.
Does it handle weighted quorum by ownership interest?
Not yet — today every eligible member counts as one. If your declaration states quorum as a percentage of ownership interest, you can record a weight column now and it will be used when weighted counting ships. Tell us what your declaration says; it shapes what we build next.
How is this different from Zoom's participant list?
Zoom's panel shows who is connected. It doesn't know which of those people are entitled to vote, it can't count the members represented by proxy or ballot who aren't on the call, it doesn't exclude owners in arrears, and it deduplicates nobody who joined twice. It also can't tell you who was present at 7:42 PM when the motion was put. That gap is the entire product.
What if someone joins as "iPad" or a phone number?
They land in Unmatched, and the board suggests a likely match — reversed names, nicknames, device names, accents, a first initial with a surname. You confirm with one tap. It never applies a suggestion on its own: a wrong match silently gives someone a vote they aren't entitled to. You can also add nicknames to the roster in advance, and we recommend running a waiting room so identity gets sorted before anyone is admitted.
Is RollCall Live a Zoom app?
Yes — published on the Zoom App Marketplace. It installs to your Zoom account in a couple of minutes and reads participant data through Zoom's webhooks and APIs. It never accesses audio, video, chat, transcripts or recordings, and it doesn't join your meeting.
Do members need to install anything?
No. Your secretary or clerk installs it and uploads the roster. Everyone else just joins the meeting as usual.
Can we prove quorum afterwards?
That's what the frozen roll is for. Each one records who was counted at that exact moment and on what basis — present, by proxy, by ballot, or excluded as ineligible — so the total can be reconstructed line by line rather than taken on trust. Exports are CSV, and the attendance trail is kept for 30 days.
Does this decide whether we have quorum?
No, and deliberately. RollCall Live reports the composition against the threshold you entered; the chair declares quorum. Thresholds and proxy rules vary by jurisdiction and by your own governing documents, and confirming them is the administrator's job. This is general information, not legal advice.
